  3.                        OCCUPANCY AGREEMENT 
  4. Date: __________________

  7. Larry Shemp, referred to as the SELLER, and Moe Curly, referred to
  8. as the  BUYER, agree: the parties have entered into a purchase and
  9. sale  agreement, and WHEREAS: 
  10.  
  11. Final settlement and closing took place on June 3, 1994, and 
  12. SELLER desires to occupy the premises from the day of passing of 
  13. title through July 1, 1994.  
  14.  
  15. As rental, SELLER shall pay $20.00 ( twenty & no/100 dollars) per
  16. day, with a  minimum payment of 14 days. 
  17.  
  18. The pro-rata utility service bills for the period of occupancy 
  19. shall be paid by SELLER. 
  20.  
  21. SELLER shall vacate the premises by July 1, 1994, which duty shall
  22. be  specifically enforceable. SELLER shall give immediate notice
  23. of  the date when they vacate once the same is known or reasonably
  24.  estimable. 
  25.  
  26. SELLER shall leave the premises in the same condition as at 
  27. closing, ordinary wear and tear excepted. 
  28.  
  29. It is specifically agreed that there is no tenancy created 
  30. between the Buyers and Sellers, but we, the Sellers, are 
  31. occupying the said premises on the sufferance of the Buyers. 
  32.  
  33. In the event that any legal action is required to enforce the 
  34. rights provided for herein, SELLER shall pay all reasonable 
  35. attorneys fees and costs incurred by SELLER. 
  36.  
  37. This agreement may not be modified unless the modification is in 
  38. writing and executed by the parties hereto.
